National Life Insurance Company, principally located in Montpelier, VT and Addison, TX and includes National Life Holding Company and each of its direct and indirect subsidiaries (“Sponsor”) is pleased to introduce the Beats for Good Competition (“Beats for Good” or the “Contest”), which allows individuals to compete for the opportunity to perform at Do Good Fest in front of approximately 10,000 people. Beats for Good is a skill-based contest seeking the best and brightest of Vermont’s up-and-coming musical talent to submit a video (the “Video”) that best captures the Judging Criteria of the Contest (as defined in Section 5). The Contest entry period begins on March 18, 2024, at 12:00:00 a.m. Eastern Time (“ET”) and ends on April 28, 2024, at 11:59:59 p.m. ET (“Contest Entry Period”). Eastern Time shall control for all purposes of the Contest. Sponsor’s computer shall be the official clock for purposes of the Contest.

As a condition of participating in the Contest, you agree to be fully and unconditionally bound by these Official Rules and the decisions of Sponsor, whose decisions shall be final and binding in all respects, and to waive any right to claim ambiguity in the Contest, these Official Rules, Contest materials, information contained on Sponsor’s website, available at https://dogoodfest.com/beatsforgood (the “Site”), the Contest entry submission form, available at 2024 Beats for Good Submission Form Survey (surveymonkey.com) (“Submission Form”), or information contained on any other sites where the Contest may be promoted. Sponsor reserves the right to modify the Official Rules as posted on the Site, and you shall be deemed to have received notification of such modified Official Rules and accepted such modified Official Rules by virtue of your continued participation in the Contest.

The Contest is subject to applicable federal, state, and local laws and regulations and is VOID WHERE PROHIBITED OR RESTRICTED BY LAW. Winning and receiving a Prize (as defined in Section 6) is contingent upon fulfilling all requirements set forth herein.

1. SOCIAL NETWORKING SITE DISCLAIMER

As a condition of participating in the Contest, you agree and acknowledge that YouTube, LLC, Facebook AKA Meta Platforms Inc., Instagram LLC, TikTok Inc., and LinkedIn Co., and its owners directors, officers, employees, contractors, agents, representatives, parents, subsidiaries, attorneys, insurers, and associated entities (collectively, the “Social Media Group”) are not sponsors of the Contest nor do they endorse or administer the Contest, nor are they in any way associated with the Contest. All questions regarding the Contest must be directed to Sponsor, not the Social Media Group. You also agree that as a condition of participating in the Contest, you shall release the Social Media Group from any and all liability arising out of or relating to your entry, creation of an entry or submission of an entry, participation in the Contest, acceptance, use, or misuse of any Prize, or the broadcast, exploitation, or use of an entry. 

2. ELIGIBILITY

The Beats for Good Contest is open to individuals who: (A) are at least thirteen (13) years of age but under the age of nineteen (19) at the time of entry; (B) are residents of Vermont; (C) are enrolled as a high school student in Vermont as defined below; (D) are not a person barred from participation in the Contest under the laws of the United States or Vermont; and (E) at all times abide by these Official Rules. Individuals may be asked to provide documentation verifying eligibility. For the purposes of this contest, a high school student is a student who is currently enrolled and attends a public, private, charter, or state accredited home school program in the state of Vermont. THE CONTEST IS VOID WHERE OTHERWISE PROHIBITED OR RESTRICTED BY APPLICABLE LAW.

Directors, officers, employees, contractors, agents or representatives of Sponsor, and/or its parent, affiliate companies and/or subsidiaries, and their suppliers, advertisers and promotion agencies for this Contest are not eligible to participate in the Contest, however, their family member may as long as they meet the other eligibility requirements.


3. TERM

The Contest Entry Period begins on March 18, 2024, at 12:00:00 a.m. ET and ends on April 28, 2024, at 11:59:59 p.m. ET.

4. HOW TO ENTER THE BEATS FOR GOOD CONTEST: 

A. Video Submission

During the Contest Entry Period for the Beats for Good Contest, individuals who satisfy the above referenced eligibility requirements (hereafter referred to as “Entrant(s),” “You,” or “Your”) will be able to enter a video (a “Video Submission”) in the Contest. To enter a Video Submission,

(i) complete the requested information on the Submission Form, available at 2024 Beats for Good Submission Form Survey (surveymonkey.com) 

(ii) share a YouTube, Vimeo or TikTok link of one of Your performances; and 

(iii) have each individual performing in the video complete a form confirming their eligibility, consenting to the Sponsor’s use of their intellectual property rights and in the event of a dispute, agreeing to indemnify the Sponsor (the “Affidavit of Eligibility/Liability/Publicity Release”). All entries must comply with (i) these Official Rules and (ii) the YouTube or Vimeo Terms of Use, available at https://www.youtube.com/static?template=terms and https://vimeo.com/terms and Community Guidelines | TikTok. Follow the instructions provided within the Submission Form page to complete the entry form and to share Your Video Submission. You will be required to accurately and truthfully provide all mandatory information specified on the entry form for participation, including confirming Entrant’s availability to perform on the day of the Do Good Fest, which is July 13, 2024. 

To be entered into the Contest, Video Submissions must comply with all requisite content requirements and restrictions as detailed below. All Video Submissions must be received by 11:59:59 p.m. ET on April 28, 2024, to be eligible for the Contest. Once a Video Submission is submitted, it cannot be modified in any manner or removed by the Entrant. Limit of one (1) Video Submission per Entrant per performance. An individual Entrant of a group that already submitted one entry is allowed to submit an additional Video Submission as a solo performer; however, such additional Video Submissions must be distinct performances from separate musical groups and/ or musicians whether it be in a group entry or in an individual entry. Video Submissions can be submitted on behalf of a single person or musical group, which will need to be specified on the Submission Form. 

Each Video Submission will be considered to have been submitted by one (1) Entrant, regardless of the number of people who might appear or otherwise help to create a Video Submission. In the event of any dispute concerning the identity of any Entrant, the Video Submission will be deemed submitted by the natural person who is the authorized holder of the email account associated with the Video Submission entry. Where a dispute regarding the identity of an Entrant cannot be resolved to the Sponsor’s satisfaction, the Sponsor maintains, in its sole and absolute discretion, the right to declare such Video Submission invalid. Video Submissions submitted by script, macro or other automated means or any attempted form of participation in the Contest other than as described herein will be deemed void. Any submissions including inappropriate conduct including foul language will be deemed void. 

Entrants hereby agree to be bound by the terms of Sponsors’ Terms and Conditions of Use for the Site, these Official Rules and Affidavit of Eligibility/Liability/Publicity Release which are incorporated herein. Entrants understand and agree that Video Submissions may be formatted, edited or otherwise converted in order to be viewable on the DoGoodFest.com page and for potential advertising and promotional use.

B. Content Requirements and Restrictions

Video Submissions must be no longer than five (5) minutes in length and must be shared via YouTube, Vimeo or TikTok link, no other video hosting service will be accepted.

To be eligible for judging, each Video Submission must capture Entrant’s musical performance and engagement and must meet the following content/technical requirements: (A) must include the Entrant actually performing one (1) song, as opposed to lip syncing, either a cover of a song or an original song, or a recording of a past live performance of either, (B) all content of each Video Submission must be the Entrant's original design and creation or, to the extent that pre-existing material is incorporated into the Video Submission, contain only material that does not infringe on any third party rights, (C) conform to all applicable licensing and use terms (D) not contain any third-party promotion marketing or advertising in any form or of any kind; (E) not be obscene, indecent, violent, hateful, libelous or contain other offensive or inappropriate content, explicitly or by innuendo, as determined in Sponsor's sole and absolute discretion; and (F) not violate or be prohibited by applicable law or regulation.

Video Submissions may NOT contain the following, and Sponsor, in its sole and absolute discretion, may disqualify and/or remove any Video Submission that:

  1. Contains obscene, indecent, hateful, or other offensive or inappropriate content, including, but not limited to, nudity, pornography or profanity;

  2. Contains trademarks, logos, or trade dress, without express written consent of the rights holder(s) or a reasonably apparent lawful basis for Entrant’s use(s);

  3. Promotes use of alcohol, illegal drugs or tobacco;

  4. Promotes a particular political agenda;

  5. Defames, misrepresents or contains disparaging remarks, including but not limited to, words or symbols that are widely considered offensive to individuals of a certain race, ethnicity, religion, sexual orientation or socioeconomic group, about other people or companies; 

  6. Threatens any person, place, business, group or nation;

  7. Contains copyrighted materials owned by others (including photographs, sculptures, paintings, and other works of art or images published on or in websites, television, movies or other media) either without express written consent of the rights holder(s) or a reasonably apparent lawful basis for Entrant’s use(s);

  8. Invades privacy or other rights of any person, firm or entity;

  9. Contains materials embodying the names, likenesses, voices, or other indicia identifying any person (other than a member of Entrant’s family or community for whom Entrant has received written consent) including, without limitation, celebrities and/or other public or private figures, living or dead either without express written consent of the rights holder(s) or a reasonably apparent lawful basis for Entrant’s use(s);

  10. Contains look-alikes of celebrities or other public or private figures, living or dead either without express written consent of the rights holder(s) or a reasonably apparent lawful basis for Entrant’s use(s); 

  11. Communicates messages or images inconsistent with the positive images and/or good will to which Sponsor’s wishes to associate;

  12. In no way does the Video Submission violate the rules or regulations of any academic institution the Entrant is subject to; and/or 

  13. In any other way violates applicable laws and regulations. 

Sponsor reserves the right to review Video Submissions for content before being published or judged; however, such review does not relieve Entrant from responsibility for compliance with these Official Rules. Video Submissions that do not comply with these Official Rules or that otherwise contain prohibited or inappropriate content as determined by the Sponsor, in its sole discretion, may be disqualified and not be considered for a prize. Sponsor makes the final determination as to which Video Submissions are eligible to take part in the Contest and be considered for a prize. Sponsor reserves the right to refuse any Video Submission for any reason at any given point in time in its sole discretion. All such decisions of Sponsor are final. 

By entering the Contest, each Entrant warrants that Entrant’s right to enter the Video Submission is not restricted in any way. In the event a Video Submission includes elements not owned by Entrant, then Entrant may be required to provide, if requested, a legal release for use of such elements, in a form satisfactory to Sponsor such that Sponsor may use such elements, in whole or in part, and any modification thereof, in any and all media now known or hereinafter developed without territorial, time or any other limitation. In addition, if the Video Submission includes collaborative contributions from multiple individuals, Entrant warrants that they have the right to include such contributions in the Video Submission, in accordance with the provisions of these Official Rules and then Entrant may be required to provide, if requested, a legal release for use of such elements, in a form satisfactory to Sponsor and such the Sponsor may use elements, in whole or in part, and any modification thereof, in any and all media not known or hereinafter developed without territorial, time or any other limitations. 

ENTRANT GRANTS TO SPONSOR (INCLUDING SPONSOR’S AFFILIATES AND SUBSIDIARIES, EMPLOYEES, AGENTS, AND CONTRACTORS), ANY TESTING PARTNERS, AND CONTEST JUDGES AN IRREVOCABLE, ROYALTY FREE, FULLY PAID UP, WORLDWIDE, NON-EXCLUSIVE LICENSE TO USE, REVIEW, ASSESS, TEST, ALTER, DISTRIBUTE AND OTHERWISE ANALYZE ITS VIDEO SUBMISSION IN CONNECTION WITH THIS CONTEST AND ANY FUTURE PROMOTION. ENTRANT UNDERSTANDS THAT IT WILL NOT RECEIVE ANY COMPENSATION OR CREDIT FOR USE OF ITS VIDEO SUBMISSION, OTHER THAN WHAT IS DESCRIBED IN THESE OFFICIAL RULES.


5. JUDGING

a) Beats for Good Selection Committee 

After the close of the Contest Entry Period, on or about April 28, 2024, all eligible Video Submissions received will be reviewed, considered and evaluated by a qualified panel of judges comprised of seven (7) Beats for Good Selection Committee members (“BFG Panel”), based on the following overall criteria: (1) musical ability ; (2) stage presence; (3) balance and blend; (4) diction; and (5) creativity in original and cover songs (the “Judging Criteria”). The top Ten (10) Video Submissions as determined by the BFG Panel pursuant to the Judging Criteria will be selected as Contest Finalists (“Finalists”). 

Video Submissions will be judged by the BFG Panel based on the Judging Criteria and all determinations shall be made at the BFG’s Panel’s reasonable discretion and, as to matters of subjectivity, the BFG’s Panel’s sole discretion. The BFG Panel’s decisions are final and binding in all matters relating to this Contest. 

b) Public Vote on Finalists

On or about May 17, 2024, the Finalists’ Video Submissions will be uploaded to DoGoodFest.com where the public will then have the opportunity to vote until May 31, 2024, at 11:59:59 p.m. ET (the “Contest Voting Period”) to select three (3) winners from the Finalists.

Subject to Sponsor’s discretion as well as verification of eligibility and compliance with these Official Rules, the Grand Prize Winner shall be the one (1) Video Submission submitted during the Contest Entry Period that received the highest number of online votes during the Contest Voting Period (the “Grand Prize Winner”). Similarly, the Second Place Winner shall be the one (1) Video Submission submitted during the Contest Entry Period that received the second highest number of online votes during the Contest Voting Period (the “Second Place Winner”). And the Third Place Winner shall be theone (1) Video Submission submitted during the Contest Entry Period that received the third highest number of online votes during the Contest Voting Period (the “Third Place Winner”). The public is asked to vote for the Video Submission it best feels captures the aforementioned Judging Criteria. There are no limits on the number of times an individual can vote for a Video Submission, however, Entrants are prohibited from obtaining votes by any fraudulent or inappropriate means, including, without limitation, offering prizes or other inducements to members of the public, as determined by Sponsor in its sole discretion. Use of script, macro or any automated system to submit or receive a vote or with the intent to impair the integrity of the voting process is also prohibited and all such votes will be void. If one (1) or more entries have the same vote total at the end of the Contest Voting Period, both entries will be resubmitted to the BFG Panel for reconsideration after which the BFG Panel will choose the Grand Prize Winner, Second Place Winner, and Third Place Winner based on the criteria outlined in Section 5(A) above. SPONSOR MAKES NO GUARANTEE THAT THE GRAND PRIZE, SECOND PLACE WINNER, OR THIRD PLACE WINNER VIDEO SUBMISSIONS WILL BE USED.

6. PRIZES

a) Grand Prize

Subject to verification and Sponsor’s discretion, the Entrant with the Video Submission selected as the Beats for Good Contest Grand Prize Winner will: (A) be expected to perform an opening set, not to exceed twenty (20) minutes, at the Do Good Fest on July 13, 2024 at approximately 2:00 pm ET at National Life Group’s campus in Montpelier, Vermont; (B) have the opportunity to meet the local and national musicians playing the Do Good Fest, subject to their availability; (C) have a $5,000.00 donation from the National Life Group Foundation made on their behalf to the Grand Prize Winner’s school’s music program or in the event of homeschooling, the Grand Prize Winner(s) will have the option to choose a designated school music program to receive the donation on their behalf, and D) receive a $1,000 cash prize for the individual or overall winning group. The donation will be made by check from Sponsor to the chosen school by July 31, 2024. In the event that the Grand Prize Winner is a group comprised of multiple Entrants, only one donation will be made to the school music program of the group’s choice. Such choice must be made prior to the July 31, 2024 deadline.  The $1,000 cash prize will be paid by check to the Entrant by no later than July 31, 2024.To the extent a Grand Prize Winner is a group act comprised of multiple individuals, the cash prize will be divided equally among the individuals and each will receive a check.  

The total approximate retail value (“ARV”) of the Grand Prize package is $6,000.00. The ARV is a reasonable estimate based on the time these Official Rules were drafted. Any difference between stated value and actual value will not be awarded. 

b) Second Place Winner

Subject to verification and Sponsor’s discretion, the Entrant with the Video Submission selected as the Beats for Good Contest Second Place Winner will: (A) possibly have the opportunity to meet the local and national musicians playing the Do Good Fest, subject to their availability; and (B) have a $2,500.00 donation from the National Life Group Foundation made on their behalf to the Second Place Winner’s school’s music program or in the event of homeschooling, the Second Place Winner will have the option to choose a designated school music program to receive the donation on their behalf. Such donations will be made by check from Sponsor to the chosen school by July 31, 2024. In the event that the Second Place Winner is a group comprised of multiple Entrants, only one donation will be made to the school music program of the group’s choice. Such choice must be made prior to the July 31, 2024 deadline. 

The total approximate retail value (“ARV”) of the Second Place Winner package is $2,500.00. The ARV is a reasonable estimate based on the time these Official Rules were drafted. Any difference between stated value and actual value will not be awarded.

c) Third Place Winner

Subject to verification and Sponsor’s discretion, the Entrant with the Video Submission selected as the Beats for Good Contest Third Place Winner will: (A) possibly have the opportunity to meet the local and national musicians playing the Do Good Fest, subject to their availability; and (B) have a $1,000.00 donation from the National Life Group Foundation made on their behalf to the Third Place Winner’s school’s music program or in the event of homeschooling, the Third Place Winner(s) will have the option to choose a designated school music program to receive the donation on their behalf. Such donations will be made by check from Sponsor to the chosen school by July 31, 2024. In the event that the Third Place Winner is a group comprised of multiple Entrants, only one donation will be made to the school music program of the group’s choice. Such choice must be made prior to the July 31, 2024 deadline.

The total approximate retail value (“ARV”) of the Third Place Winner package is $1,000.00. The ARV is a reasonable estimate based on the time these Official Rules were drafted. Any difference between stated value and actual value will not be awarded.

7. PRIZE WINNER NOTIFICATION

The Grand Prize Winner, Second Place Winner, and Third Place Winner are potential prize winners, subject to notification, verification and acceptance of each such prize. The potential Grand Prize Winner, Second Place Winner, and Third Place Winner will each be notified by sending a message to the email addresses provided at time of entry within five (5) days following completion of judging. If the notification is returned as undeliverable or potential Prize Winners are otherwise unreachable for any reason after five (5) amount of days, Sponsor may select an alternate potential Grand Prize Winner, Second Place Winner, or Third Place Winner at Sponsor’s discretion. If there is a dispute as to who the potential Grand Prize Winner, Second Place Winner, or Third Place Winner is, Sponsor will consider the potential prize winners to be the authorized account holder of the email address used to enter the Contest. 

The potential prize winners may, at the option of the Sponsor, also be required to complete and sign a Form W-9 as well as other potential waivers and releases, including potential liability release to perform at Do Good Fest. The potential prize winners may be required to obtain releases from all participants and/or any and all third parties appearing in or implicated by their respective Video Submission. If a potential prize winner does not complete the required forms as instructed and/or return the required forms within fourteen (14) days, Sponsor may disqualify the potential prize winner and select an alternate potential prize winner, at Sponsor’s discretion. In the event: (A) a potential prize winner cannot be reached for whatever reason after a reasonable effort has been exerted; (B) a potential prize winner declines or cannot accept, receive or use a prize for any reason; (C) of noncompliance with the above or within any of the aforesaid time periods; (D) a potential prize winner is found to be ineligible to enter the Contest or receive the Grand Prize, Second Place Prize, or Third Place Prize; (E) a potential prize winner cannot or does not comply with the Official Rules; or (F) a potential prize winner fails to fulfill the required forms obligations, such potential prize winner shall be disqualified from the Contest and an alternate potential prize winner may be selected, at Sponsor's sole discretion, even if the disqualified potential prize winner’s name has been publicly announced. If the Sponsor decides to select an alternate potential prize winner, the alternate will be determined in sequential order based on the entry that received the next highest number of votes. Sponsor retains the right to repeat this process until an alternate potential prize winner complies with the verification of eligibility requirements. Sponsor also reserves the right to modify the notification and required documentation procedures in connection with the selection of an alternate potential prize winner, if any. 

A POTENTIAL PRIZE WINNER IS SUBJECT TO VERIFICATION BY SPONSOR. SPONSOR’S DECISIONS AS TO THE ADMINISTRATION AND OPERATION OF THE CONTEST, ANY CHANGES TO THESE OFFICIAL RULES, AND THE SELECTION OF A POTENTIAL PRIZE WINNER IS FINAL AND BINDING IN ALL MATTERS RELATED TO THE CONTEST. 

8. PRIZE RESTRICTIONS

The Grand Prize Winner must travel to the Do Good Fest, at their own expense, and be prepared to go on stage on July 13, 2024 at approximately 2:00 pm ET at National Life Group’s campus in Montpelier, Vermont or the Grand Prize will be forfeited. The Grand Prize Winner regardless of solo act or group act is solely responsible for all costs and fees incurred with traveling to and from the Do Good Fest, including but not limited to, ground transportation, meals, incidentals, lodging, gratuities, taxes or other expenses are the sole responsibility of the Grand Prize Winner. 

Sponsor is not responsible if any show or event is delayed, postponed or cancelled for any reason, in which event that portion of Grand Prize is forfeited in its entirety and no substitution will be provided except at Sponsor’s sole discretion. However, in such event, Sponsor shall still award the $5,000 donation to the Grand Prize Winner(s) school’s music program or in the event of homeschooling, the Grand Prize Winner(s) designated school music program of their choice as well as a $1,000 cash prize, which will be divided equally if the Grand Prize Winner is a group act comprised of multiple individuals. .  In the event of the Grand Prize Winner being comprised of a group act of several individuals, if for any reason, any individual in that group is unable to perform at the Do Good Fest, said individual solely forfeits the right to perform at the Do Good Fest. No substitutions of individuals performing at the Do Good Fest can be made, except at Sponsor’s sole discretion and approval. Grand Prize Winners regardless of an individual act or a group act must follow all instructions of Sponsor or its designees relative to the Grand Prize and any element thereof. In the event a Grand Prize Winner engages in behavior that, as determined by Sponsor in its sole discretion, is obnoxious or threatening, illegal or that is intended to annoy, abuse, threaten or harass any other person, Sponsor reserves the right to terminate the Grand Prize or other applicable experience early, in whole or in part, and send that individual or in the case of a group act, the whole group home with no further compensation. 

All prize details are at Sponsor’s sole discretion. No more than the number of prizes stated in these Official Rules will be awarded. All prizes are awarded AS IS and WITHOUT WARRANTY OF ANY KIND, express or implied, (including, without limitation, any implied warranty of merchantability or fitness for a particular purpose) by Sponsor. The prizes are not assignable or transferable and no substitutions are allowed except by Sponsor, who may substitute a prize (or portion thereof) with one of comparable or greater value if the prize should become unavailable for any reason. Prizes are not redeemable for cash. ALL TAXES, DUTIES OR OTHER COSTS, IF ANY, RELATING TO THE RECEIPT, ACCEPTANCE AND/OR USE OF PRIZES ARE THE SOLE RESPONSIBILITY OF THE PRIZE WINNERS. Any required tax reporting forms will be furnished to the appropriate tax authorities.

9. ODDS OF WINNING

The odds of winning will depend on the number of eligible Video Submissions submitted during the Contest Entry Period and the quality of the Video Submissions submitted in light of the Judging Criteria.

10. REPRESENTATIONS

By participating, each Entrant submitting entry materials (including a Video Submission) represents and warrants that: (A) the Entrant and the Video Submission fully comply with all eligibility requirements and all other provisions of these Official Rules; (B) in preparing the Video Submission and entering and participating in the Contest, the Entrant has complied and will comply in all respects with all applicable laws, regulations, and rules (including any applicable rules and policies of the Entrant's academic institution if the Entrant is representing their academic institution in the Contest) and has not violated nor will violate any agreement or understanding by which it is bound, including any confidentiality, employment, consulting, intellectual property assignment, or license agreement; (C) the Video Submission consists entirely of Entrant's own original work or of work to which Entrant has all necessary rights (whether by virtue of ownership of such rights or having received the express written consent of the creator to use such work); and (D) neither the Video Submission nor the duplication, use, display, performance, or distribution of the Video Submission will infringe or misappropriate any intellectual property or other proprietary rights of any person or entity.

11. GENERAL CONDITIONS

By participating, each Entrant agrees: (A) to abide by these Official Rules, and the decisions of Sponsor and judges in all respects relating to this Contest, which shall be final and binding; (B) to furnish Sponsor with executed copies of any documents required by Sponsor in order to be confirmed as a Contest Finalist and/or prize winner, including without limitation, an Affidavit of Eligibility/Liability/Publicity Release, the written consent of any other individual who appears in the Video Submission (and their parent or legal guardian, if such person is a minor) and any other written permissions, as set forth above; (C) to release and discharge the Sponsor and its affiliate companies, and their respective parent companies, subsidiaries, affiliates, prize suppliers, and Sponsor’s advertising, promotion, media, public relations and judges and all their affiliates, and each of their respective agents, representatives, officers, managers, directors, members, shareholders and employees (collectively, the “Released Parties”) from any and all injuries, liability, losses and damages of any kind to persons including, without limitation, death, or property resulting, in whole or in part, directly or indirectly, from Entrant’s participation in the Contest or any Contest-related activity or the acceptance, possession, use or misuse of prize (or portion thereof) (including, without limitation, any travel or activity related thereto); (D) to grant Publicity Rights as described in subsection 14; and (E) to defend, indemnify and hold harmless each of the Released Parties from and against any and all claims or actions arising out of or in connection with Entrant’s participation in the Contest, any breach of representation made by Entrant in connection with the Contest, and the exercise by Sponsor or its designees of any of the rights granted by Entrant in these Official Rules.

12. LIMITATIONS OF LIABILITY

To the maximum extent permitted by law, Released Parties expressly disclaim any and all warranties or conditions of any kind (whether express, implied, statutory or otherwise), including but not limited to, implied warranties or conditions of merchantability, fitness for a particular purpose and non-infringement. Released Parties shall not be liable or responsible for those guarantees, warranties or conditions made or offered by advertisers, partners, manufacturers or suppliers, including those relating to the prizes. Under no circumstances shall Released Parties be held responsible or liable for a participant’s use of the information and/or products provided and/or made available through the Contest or for errors or anomalies resulting in the unintended or erroneous participation, award of Contest prize or other benefits under the Contest to participants. 

Released Parties offer no assurances, guarantees, warranties or conditions that the Contest or Contest websites will be uninterrupted or error-free and does not guarantee the accuracy or reliability of any information obtained through the Contest. Released Parties are not responsible for: (A) stolen, lost, late, misdirected, damaged, undeliverable or incomplete, inaccurate, delayed, illegible Video Submissions due to technical, computer, mechanical, printing, typographical, human or other errors relating to or in connection with the Contest, including, without limitation, errors which may occur in connection with the administration of the Contest, the transmission of Video Submissions, notification or correspondence, the processing of entries, the announcement of the prize or in any Contest related materials; (B) technical failures of any kind; (C) failures of any of the equipment or programming associated with or utilized in the Contest; (D) unauthorized human and/or mechanical intervention in any part of the entry process or the Contest; (E) technical or human error that may occur in the administration of the Contest, the sending of entries or the processing of entries; or (F) any injury or damage to persons (including death) or property that may be caused, directly or indirectly, in whole or in part, from Entrant's participation in the Contest or receipt or use of any prize. If for any reason an Entrant's Video Submission is confirmed to have been erroneously deleted, lost or otherwise destroyed, corrupted or for any other reason not accepted as an entry into the Contest, Entrant's sole remedy is to submit another Video Submission in the Contest. Sponsor may rescind any Contest Video Submission found to contain such errors or failures without liability at its sole discretion.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RELEASED PARTIES WILL NOT BE LIABLE, AND ARE NOT RESPONSIBLE, FOR DAMAGES OF ANY KIND RELATED TO AN ENTRANT'S PREPARATION, PARTICIPATION OR INABILITY TO PARTICIPATE IN THE CONTEST, WHETHER THE DAMAGES ARE DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, EXEMPLARY, SPECIAL OR CONSEQUENTIAL. FURTHER, BY PARTICIPATING IN THE CONTEST AND/OR ACCEPTING A CONTEST PRIZE, A PARTICIPANT AGREES THAT, TO THE MAXIMUM EXTENT PERMITTED BY LAW, RELEASED PARTIES SHALL NOT BE LIABLE FOR, AND WILL BE HELD HARMLESS BY PARTICIPANT AGAINST ANY LIABILITY FOR ANY DAMAGE, INJURY OR LOSS TO PERSON (INCLUDING DEATH) OR PROPERTY DUE IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, TO ACCEPTANCE, POSSESSION, USE OR MISUSE OF A CONTEST PRIZE, PARTICIPATION IN ANY CONTEST PRIZE-RELATED ACTIVITY, USE OF ANY TENDERED ENTRY OR OTHER RIGHTS GRANTED HEREIN OR PARTICIPATION IN THIS CONTEST. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR DIRECT, INDIRECT, INCIDENTAL, PUNITIVE OR CONSEQUENTIAL DAMAGES, IN WHICH CASE THE RELEASED PARTIES’ LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW. 

If, in the Sponsor's opinion, there is any suspected or actual evidence of electronic or non-electronic tampering with any portion of the Contest, or if computer virus, bugs, unauthorized intervention, fraud, or technical difficulties or failures compromise or corrupt or affect the administration, integrity, security, fairness, or proper conduct of the Contest, the Sponsor reserves the right at its sole discretion to disqualify any individual who tampers with the entry process and/or void any Video Submissions submitted fraudulently, to modify or suspend the Contest, or to terminate the Contest. In the event that the Contest is cancelled or postponed for any reason whatsoever, the ARV of the prizes will be awarded to the extent required by law. 

ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE SPONSOR’S SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK CIVIL AND/OR CRIMINAL PROSECUTION AND DAMAGES (INCLUDING ATTORNEY’S FEES) FROM ANY SUCH ENTRANT TO THE FULLEST EXTENT OF THE LAW.

13. GOVERNING LAW AND DISPUTES

a) Preliminary Dispute Resolution

By entering into the Contest, You agree to work with Sponsor in good faith to resolve any dispute, controversy, disagreement or claim (“Dispute”) arising out of or relating to these Official Rules or Your participation in the Contest before escalating the Dispute to litigation, as addressed below. You must give Sponsor an opportunity to resolve the Dispute by sending written notification to LawDept@nationallife.com with the subject line “DISPUTE” or mailing National Life, One National Life Drive, Montpelier, VT 05604 Attn: Law Department. The written notification of Dispute must include (A) Your name, (B) Your address, (C) a written description of Your Dispute, and (D) a description of the specific relief You seek. If Sponsor does not resolve the Dispute within 60 days after receipt of Your written notification, You may pursue Your dispute in litigation as set forth below.

b) Litigation

By entering into the Contest, You further agree that any and all Disputes not resolved as part of the preliminary dispute resolution process arising out of or connected with this Contest or the prizes shall: (A) be resolved individually without resort to any form of class action; (B) be resolved exclusively by the United States District Court or the appropriate Texas State Court located in Dallas, TX C) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Contest, but will in no event include attorneys’ fees; and (D) under no circumstances will Entrant be permitted to obtain awards for, and Entrant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. Some jurisdictions do not allow the limitations or exclusion of liability for punitive, incidental or consequential damages, in which case the liability of Sponsor and the Released Parties will be limited to the maximum extent permitted by law. All issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules, or the rights and obligations of the Entrant and Sponsor in connection with the Contest, shall be governed by, and construed in accordance with, the laws of the State of Texas without giving effect to any choice of law or conflict of law rules (whether of the State of Texas or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Texas.


14. PUBLICITY RELEASE AND USE OF PERSONAL INFORMATION

Except where prohibited by law, by participating in this Contest and/or accepting a prize, you grant Sponsor and its designees the right to use your name, photograph, likeness, statements, biographical information, testimonials, personal story, voice, Video Submission, address, and other identifying information for any and all commercial purposes of the Sponsor, including, without limitation, advertising and promotional purposes for this and similar promotions, worldwide, and in perpetuity, in any and all forms of media, now known or hereafter devised without additional compensation, review or approval rights, notification or permission. 

By entering the Contest, Entrants acknowledge they will be sharing their personal information with Sponsor. In addition, by entering, Entrants agree to Sponsor's use of Entrant's personal information as described in its respective Privacy Policy. Please refer to Sponsor's Privacy Policy, available at https://www.nationallife.com/Privacy-Policies-of-National-Life-Group-Companies, for important information regarding our collection, use and disclosure of personal information. Sponsor is not responsible for disclosures made by any third party. 

BY ENTERING THIS CONTEST, YOU ACKNOWLEDGE AND AGREE THAT YOU HAVE READ AND CONSENT TO SPONSOR’S PRIVACY POLICY. YOU FURTHER ACKNOWLEDGE THAT YOUR PERSONAL IDENTIFYING INFORMATION MAY BE DISCLOSED TO THIRD PARTIES INCLUDING, WITHOUT LIMITATION, PLACING YOUR NAME ON A WINNERS’ LIST. 

15. EXTENDED MEANINGS; CURRENCY; FORCE MAJEURE

Unless otherwise specified in these Official Rules, words importing the singular include the plural and vice versa and words importing gender include all genders. All dollar amounts referred to in these Official Rules are in lawful money of the United States of America. The Released Parties are not responsible for any damages caused by delay or failure to perform undertakings pursuant to these Official Rules when the delay or failure is due to weather, event cancellations, fires, strikes, floods, pandemics, acts of God or the state’s enemies, lawful acts of public authorities, delays or defaults caused by common carriers, or other events that cannot reasonably be foreseen or provided against.

16. OFFICIAL RULES AND WINNERS’ LIST

A complete copy of these Official Rules can be obtained by sending a self-addressed, stamped envelope to the offices of National Life, One National Life Drive, Montpelier, VT 05604: Attn: Corporate Communications or emailing a request to communications@nationallife.com. To obtain the names of the Prize winners, any person may mail a self-addressed, stamped envelope to the offices of National Life, One National Life Drive, Montpelier, VT 05604, Attn: Winners’ List. The Winners’ List will be available after June 3, 2024, and requests must be received no later than six (6) months after that date.

17. SEVERABILITY/WAIVER

The invalidity or unenforceability of any provision of these Official Rules will not affect the validity or enforceability of any other provision. In the event that any provision of the Official Rules is determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. The Sponsor’s failure to enforce any term of these Official Rules will not constitute a waiver of that provision.
